End User License Agreement

1. Introduction

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Illumbria ("Illumbria", "we", "us", or "our") governing your use of any software, applications, APIs, models, deliverables, and related documentation provided by Illumbria (collectively, the "Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA.

2. Grant of License

Subject to your compliance with this EULA and any applicable order form or statement of work, Illumbria grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software solely for your internal business purposes during the term of your engagement with Illumbria.

3. Restrictions

You agree that you will not, and will not permit any third party to:

  • Copy, modify, adapt, translate, or create derivative works based on the Software, except as expressly permitted.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
  • Rent, lease, lend, sell, sublicense, assign, distribute, or otherwise transfer the Software to any third party.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on or in the Software.
  • Use the Software to develop a competing product or service.
  • Use the Software in violation of any applicable law, regulation, or third-party right.

4. Ownership

The Software is licensed, not sold. Illumbria and its licensors retain all right, title, and interest in and to the Software, including all related intellectual property rights. No rights are granted to you other than as expressly set forth in this EULA.

5. Updates and Support

Illumbria may, at its sole discretion, provide updates, upgrades, patches, or new versions of the Software. Any such updates are subject to this EULA unless accompanied by a separate license agreement. Support services, if any, are governed by the applicable order form or statement of work.

6. Third-Party Components

The Software may include or rely on third-party software, models, or services that are subject to their own license terms. You are responsible for complying with those terms in addition to this EULA.

7. Confidentiality

The Software contains valuable trade secrets and confidential information of Illumbria. You agree to maintain the confidentiality of the Software using at least the same degree of care you use to protect your own confidential information, and in no event less than reasonable care.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. ILLUMBRIA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ILLUMBRIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE, EVEN IF ILLUMBRIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control. Sections 3, 4, 7, 8, 9, and 11 will survive termination.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which Illumbria is established, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be resolved in the courts located in that jurisdiction.

12. Changes to This EULA

We may update this EULA from time to time. We will notify you of material changes by posting the updated EULA on this page and updating the "Last updated" date. Your continued use of the Software after such changes constitutes your acceptance of the revised EULA.
